Business Entity Formation

Business entities are formed by registration with the Kentucky Secretary of State.  

Limited Liability Company

Filing a Domestic LLC (for profit company, first registered in Kentucky) is a $40 initial filing fee, $15 annual fee, and may not be submitted online. Expedited service is not available. Documents are processed the same day they are received, but it may take up to three (3) business days. Annual report required by June 30 of each year.

Filing a Foreign LLC (for profit company, first registered elsewhere) is a $90 initial filing fee, $15 annual fee, and may not be submitted online. Expedited service is not available. Documents are processed the same day they are received, but it may take up to three (3) business days.Annual report required by June 30 of each year.

Corporation

Filing a Domestic Corporation (for profit company, first registered in Kentucky) is a $40 initial filing fee, $15 annual fee, and may not be submitted online. Expedited service is not available. Documents are processed the same day they are received, but it may take up to three (3) business days. Initial fee is $40 plus an organization tax based on the number of shares. Annual report required by June 30 of each year.

Sole Proprietor

A sole proprietor business does not require registration with the state.

DBA (Doing Business As) or Fictitious Business Name

Kentucky allows individuals and businesses to register a fictitious business name. Corporations, a non-profits, LLCs and partnerships (general, limited, and limited liability) must file a Certificate of Assumed Name with the Kentucky Secretary of State. Sole proprietorships should file an assumed name certificate with the county clerk's office where the business is located.
