I’m filling out my LLC paperwork. What is a registered agent? Where do I find one? - M.D.

A registered agent is someone who will receive official notifications from the state related to your LLC and will receive official service of process in the event of a lawsuit. A registered agent must reside within the state in which your LLC is formed and have a physical address as well as a mailing address. In most states, there are no specific additional qualifications for a registered agent.

You can serve as your own registered agent. Be aware that if you are sued, the process server will come to the physical address listed on your LLC formation documents to serve you. This could be a significant distraction if your physical address is the location in which you see your customers. Can you imagine having a process server show up in the middle of the dinner rush?

Many companies use their attorney or a separate service for their registered agent. Some states provide a list of registered agent services from their Secretary of State’s web page. A quick search engine query for registered agent [your state] will bring you a number of listings.

Compare the services provided, especially their commitment and process for forwarding official communications received to you ((snail mail forwarding, scanning and email, telephone notification, etc.) and the turnaround period. Compare cost of their service as well. Realistically, there should be only a few communications received by the registered agent in any one year.

If you choose to serve as your own registered agent, be sure that you keep your physical and mailing address up to date with the state so that you do not miss any important documents.
